Welcome to Shuffle, a service of DNFT, Inc. ("DNFT", "Company", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our websites, applications, messaging services, AI-powered features, and related software and documentation (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

IMPORTANT: PLEASE READ SECTION 14 (DISPUTE RESOLUTION AND ARBITRATION) CAREFULLY. IT CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECTS YOUR LEGAL RIGHTS.

1. Eligibility and Acceptance

1.1 Age Requirements

You must be at least 13 years of age to use the Service. Children under 13 are strictly prohibited from using the Service under any circumstances.

If you are between 13 and 17 years old, you may only use the Service with the consent and supervision of a parent or legal guardian. By allowing a minor to use the Service, the parent or guardian agrees to these Terms on behalf of the minor and accepts responsibility for the minor's use of the Service.

We do not knowingly collect personal information from anyone under 13. If we discover that a child under 13 has used the Service, we will immediately terminate the account and delete any associated data. If you believe a child under 13 is using the Service, please contact us immediately at support@dnftinc.com.

1.2 Legal Capacity

By using the Service, you represent and warrant that you:

  • Are at least 13 years of age (or at least 18 if required by your jurisdiction)
  • If between 13 and 17, have parental or guardian consent to use the Service
  • Are not barred from using the Service under any applicable law
  • Will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations

1.3 Organizational Use

If you use the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and you agree to these Terms on behalf of that organization.

1.4 Acceptance of Terms

By using the Service, you accept these Terms and our Privacy Policy. We may update these Terms from time to time. Continued use of the Service following any updates constitutes your acceptance of the revised Terms.

2. Description of Service

2.1 AI-Powered Features

Shuffle provides AI-powered services including, but not limited to:

  • Conversational AI assistants accessible via SMS/iMessage
  • Information retrieval and web search
  • Image generation and editing
  • Video generation from images (beta)
  • Voice calls (beta, inbound only)
  • Games and entertainment features
  • Reminders and productivity tools

Specific features may be added, modified, or removed at any time without prior notice.

2.2 Group and Individual Conversations

When you use our AI features in group conversations, messages and metadata in those conversations may be processed to operate the Service.

Group Chat Consent Requirements:

  • Do not add Shuffle to any group chat unless you have obtained permission from all participants.
  • You are responsible for ensuring that all participants in group conversations consent to the presence of AI that can read messages and respond.
  • By adding Shuffle to a group chat, you represent that you have the authority to do so and that all participants have been informed.

Removal from Group Chats:

  • Any participant may request removal of Shuffle from a group chat by texting STOP or by contacting support@dnftinc.com.
  • If you believe Shuffle was added to a group chat without your consent, contact support@dnftinc.com to report the issue.

2.3 AI Exists Only in Digital Form

THE AI SERVICE EXISTS ONLY AS A DIGITAL TEXT AND VOICE INTERFACE. THE AI CANNOT AND WILL NOT MEET YOU OR ANY OTHER USER IN PERSON, IN REAL LIFE, OR AT ANY PHYSICAL LOCATION.

The AI is not a real person. Any interactions suggesting physical meetings are prohibited, and any representations by the AI about meeting in person should be disregarded as errors.

2.4 Availability

The Service is provided on an "as available" basis. The Service may experience delays, outages, or limitations. We reserve the right to suspend, modify, or discontinue any feature or the entire Service at any time, with or without notice.

3. Accounts and Security

3.1 Registration

Registration via phone number may be required for some features. You must provide accurate, current, and complete information during registration and keep your information updated.

3.2 Account Security

You are responsible for any activity that occurs under your account or phone number. You agree to:

  • Maintain the security of your account credentials
  • Notify us promptly of any unauthorized access or security breach
  • Not share your account with others or allow others to use your phone number to access your account

3.3 Account Verification

We may require verification of your phone number or other information to provide the Service. You consent to receiving verification codes via SMS.

4. Acceptable Use and Prohibitions

4.1 General Prohibitions

You agree that you will NOT:

  • Access or use the Service in violation of any applicable law or regulation
  • Use the Service if you are under 13 years of age
  • Probe, scan, or test the vulnerability of the Service or any related system
  • Interfere with or disrupt the Service, servers, or networks connected to the Service
  • Use automated means (bots, scrapers, spiders) to access the Service except as permitted by robots.txt for public pages
  • Upload or transmit malware, viruses, spam, or unlawful, defamatory, harassing, or infringing content
  • Impersonate others or misrepresent your affiliation with any person or entity
  • Use the Service to create competing AI models or to extract datasets or outputs programmatically without our written consent
  • Attempt to reverse engineer, decompile, or extract source code from the Service
  • Use the Service to harm, threaten, harass, or abuse any person
  • Use the Service to generate or distribute illegal content

4.2 Content Policy

The Service may engage in conversational roleplay and respond to a wide range of topics. However:

  • The Service does NOT generate explicit, nude, or pornographic images. Image generation is limited to non-explicit content.
  • You may not use the Service to create content that sexualizes minors in any way, shape, or form.
  • The Service adapts to users and their communication style while maintaining appropriate boundaries.

4.3 Sensitive Information

The Service is NOT designed for, and you agree NOT to submit:

  • Protected health information (PHI) under HIPAA
  • Government-issued identification numbers (Social Security numbers, passport numbers, etc.)
  • Financial account numbers or full payment card data
  • Special categories of data under GDPR (racial/ethnic origin, political opinions, religious beliefs, biometric data, health data, sexual orientation)
  • Passwords or authentication credentials for other services

4.4 Child Safety and Zero Tolerance Policy

DNFT, Inc. maintains an absolute zero-tolerance policy for child sexual abuse material (CSAM) and child sexual exploitation.

  • A "minor" is defined as anyone under the age of 18 anywhere in the world.
  • Any content that sexualizes, exploits, or endangers minors is strictly prohibited.
  • We actively monitor for and report suspected child exploitation to the National Center for Missing & Exploited Children (NCMEC) and appropriate law enforcement authorities.
  • Accounts involved in any child exploitation activity will be immediately and permanently terminated.
  • We cooperate fully with law enforcement investigations.

If you encounter any content involving the exploitation of minors, report it immediately to support@dnftinc.com and to NCMEC at CyberTipline.org.

5. Your Content

5.1 Ownership

You retain ownership of all text, images, and other content you submit to the Service ("User Content").

5.2 License to DNFT

By submitting User Content, you grant DNFT, Inc. a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, host, store, modify, create derivative works of, publicly display, publicly perform, and distribute your User Content as necessary to:

  • Operate, maintain, and improve the Service
  • Provide the features and functionality you request
  • Train and improve DNFT AI models, and to the extent needed to provide the Service through third-party providers
  • Comply with applicable law
  • Enforce our Terms and policies

5.3 AI Model Training

Your content may be used to train AI models. This helps us improve the quality, accuracy, and capabilities of the Service. You acknowledge that:

  • Your User Content (including messages, images, and other inputs) may be used to train, fine-tune, and improve AI models operated by DNFT.
  • Third-party AI providers (such as OpenAI, Anthropic, Google, and others) may process your content according to their own terms and policies, which may include using data for model improvement.
  • We cannot control how third-party providers use data once transmitted to them.

Opt-Out: If you do not want your content used for DNFT's internal model training, you may opt out by emailing privacy@dnftinc.com with the subject line "Model Training Opt-Out." Note that opting out does not affect data already used for training and does not apply to third-party providers' practices.

5.4 Responsibility for User Content

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have the necessary rights to submit your User Content
  • Your User Content does not infringe any third party's intellectual property or other rights
  • Your User Content complies with these Terms and all applicable laws

6. AI Output, Limitations, and Disclaimers

6.1 Nature of AI Output

The Service generates text, images, and other content ("Output") using artificial intelligence. You acknowledge and agree that:

  • Output may not be unique; other users may receive the same or similar Output
  • Output is generated algorithmically and may contain errors, inaccuracies, or inappropriate content
  • Output may be incomplete, outdated, or misleading
  • You should not represent that AI-generated Output was created by a human

6.2 Rights to AI-Generated Output

Your Rights:

As between you and DNFT, you own the Output generated by the Service in response to your inputs. DNFT assigns to you any rights it may have in such Output. You may use Output for any personal or commercial purpose, subject to these Terms and applicable law.

Important: Output may not be eligible for copyright protection under current law, as copyright typically requires human authorship. Pure AI-generated content may not be copyrightable. If you want stronger IP protection, consider adding substantial human creativity (editing, combining, original additions) to the Output.

Your Responsibility:

You are responsible for ensuring that your use of Output does not infringe any third party's intellectual property or other rights.

License to DNFT:

By using the Service, you grant DNFT, Inc. a worldwide, non-exclusive, royalty-free license to use, store, reproduce, and analyze Output for purposes of:

  • Operating, maintaining, and improving the Service
  • Training and improving AI models
  • Quality assurance and safety monitoring
  • Aggregated analytics and research

We will not publicly publish or share Output in a way that identifies you without your consent, except as required by law or to enforce our Terms.

6.3 AI Limitations

THE AI HAS SIGNIFICANT LIMITATIONS. IT MAY:

  • Produce incorrect or misleading information presented confidently
  • Fail to understand context or nuance
  • Generate responses that are offensive or inappropriate
  • Not have access to current information or real-time data
  • Make errors in calculations, facts, or reasoning

DO NOT RELY ON AI OUTPUT AS A SOLE SOURCE OF TRUTH FOR ANY IMPORTANT DECISION.

6.4 No Professional Advice

THE SERVICE DOES NOT PROVIDE AND IS NOT A SUBSTITUTE FOR PROFESSIONAL ADVICE OF ANY KIND, INCLUDING BUT NOT LIMITED TO:

  • Medical, health, or mental health advice
  • Legal advice
  • Financial, tax, or investment advice
  • Emergency services

The Service is for informational and entertainment purposes only. Always consult qualified professionals for important matters affecting your health, legal rights, finances, or safety.

6.5 Mental Health and Crisis Support

If you are experiencing a mental health crisis, thoughts of self-harm, or suicidal ideation:

  • Call or text 988 (Suicide & Crisis Lifeline)
  • Text HOME to 741741 (Crisis Text Line)
  • Call 911 for emergencies

The AI may provide supportive responses and crisis resources, but it is NOT a mental health professional and cannot provide therapy, diagnosis, or treatment. If you are in distress, please reach out to trained professionals immediately.

6.6 Assumption of Risk

By using the Service, you acknowledge that AI technology is imperfect and accept full responsibility for:

  • Evaluating and verifying any Output before relying on it
  • Any decisions you make based on Output
  • Any consequences resulting from your use of the Service or reliance on Output

7. Third-Party Services

7.1 Third-Party AI Providers

The Service uses third-party AI models and infrastructure to process inputs and generate outputs. Your content may be transmitted to third-party providers including, but not limited to:

  • OpenAI
  • Anthropic
  • Google
  • Perplexity
  • Communications carriers (for SMS/MMS delivery)

Use of these third-party services is subject to their respective terms and privacy policies.

7.2 Third-Party Links

The Service may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of any third-party sites.

8. Communications Consent

8.1 Program Description

Shuffle is an AI-powered messaging service that provides conversational AI assistance, image generation, information retrieval, reminders, games, and other features via SMS and iMessage. When you text our service number, you interact with an AI assistant that responds to your messages.

8.2 Consent and Message Types

By providing your phone number and using the Service, you expressly consent to receive SMS and MMS messages from Shuffle. Messages fall into two categories:

Transactional Messages (required for Service operation):

  • AI-generated responses to your messages
  • Service-related notifications (account, security, billing)
  • Scheduled nudges and reminders (if enabled)
  • Verification codes

Promotional Messages (require separate express consent):

  • Special offers and discounts
  • New feature announcements
  • Marketing communications

You may receive promotional messages only if you opt in through our website or by texting a promotional keyword.

Consent to receive promotional messages is not required to use the Service or make a purchase.

8.3 Message Frequency

Message frequency varies based on your usage:

  • AI responses: You receive a response each time you message us.
  • Transactional: As needed for account activity, security, or features you enable.
  • Promotional: If opted in, up to 4 promotional messages per month.

8.4 Costs

Msg and data rates may apply. You are responsible for any charges from your mobile carrier.

8.6 Opt-Out / Stop

To stop receiving all messages and disable the Service, text STOP, UNSUBSCRIBE, or OPT-OUT. This will end all AI responses, transactional messages, and promotional messages for your phone number.

To reactivate, send any message to our service number.

To opt out of promotional messages only (while keeping the Service active), email support@dnftinc.com with subject "Opt Out Promotions."

9. Privacy

Our Privacy Policy explains how we collect, use, share, and protect your information. By using the Service, you consent to the practices described in our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

10. Fees, Billing, and Subscriptions

10.1 Free and Paid Features

Some features of the Service are free. Other features require a paid subscription.

10.2 Subscription Terms

Paid subscriptions renew automatically at the end of each billing period unless canceled before the renewal date. By subscribing, you authorize DNFT and our payment processor (Stripe) to charge your payment method for the applicable fees.

10.3 Pricing

Current pricing is available at addshuffle.com. We reserve the right to change pricing at any time. Price changes will not affect your current billing period but will apply to subsequent renewals.

10.4 Refunds

All payments are final and non-refundable except where required by applicable law. Canceling your subscription will stop future charges but does not entitle you to a refund for the current billing period.

10.5 Payment Processing

Payments are processed by Stripe, Inc. We do not store your full payment card information. By providing payment information, you agree to Stripe's terms and privacy policy.

11. Intellectual Property

11.1 DNFT Ownership

The Service, including all software, content, features, functionality, designs, trademarks, and intellectual property (excluding User Content), is owned by DNFT, Inc. and protected by copyright, trademark, and other intellectual property laws.

11.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal or commercial purposes.

11.3 Restrictions

You may not:

  • Resell, sublicense, or redistribute access to the Service
  • Use the Service to create a competing product or service
  • Copy, modify, or distribute any part of the Service without our written consent
  • Use our trademarks, logos, or branding without permission
  • Remove any copyright, trademark, or other proprietary notices
  • Use the Service in a manner that violates these Terms or applicable law

12. Indemnification

You agree to indemnify, defend, and hold harmless DNFT, Inc. and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your violation of any third party's rights
  • Any dispute between you and any third party

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us.

13. Disclaimers and Limitation of Liability

13.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, DNFT, INC. DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY OUTPUT OR CONTENT

13.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

DNFT, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS ($100); OR (B) THE TOTAL AMOUNT YOU PAID TO DNFT FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13.3 Basis of the Bargain

The disclaimers and limitations in this Section 13 reflect a reasonable allocation of risk and are a fundamental basis of the bargain between you and DNFT. The Service would not be provided without these limitations.

14. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

14.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at support@dnftinc.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

14.2 Binding Arbitration Agreement

If we cannot resolve a dispute informally, you and DNFT agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or our relationship (collectively, "Disputes") will be resolved exclusively through binding individual arbitration, rather than in court, except that:

  • Either party may bring individual claims in small claims court if they qualify
  • Either party may seek injunctive or other equitable relief in court for claims involving intellectual property infringement

14.3 Arbitration Rules and Procedures

Arbitration will be administered by National Arbitration and Mediation ("NAM") under its Comprehensive Dispute Resolution Rules and Procedures, or by another mutually agreed arbitration provider. The arbitration will be conducted by a single arbitrator.

  • Location: Arbitration hearings may be conducted by phone, video conference, or in person in New Castle County, Delaware, at the arbitrator's discretion.
  • Governing Law: The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
  • Fees: Each party is responsible for their own arbitration filing fees and costs. If you cannot afford the filing fee and provide documentation of financial hardship, we may, in our sole discretion, consider paying your filing fee.
  • Confidentiality: The arbitration proceedings and any award shall be confidential.

14.4 Class Action Waiver

YOU AND DNFT AGREE THAT EACH PARTY MAY BRING DISPUTES ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

The arbitrator may not consolidate claims or preside over any form of class, collective, or representative proceeding. If this class action waiver is found unenforceable, then the entirety of this arbitration agreement shall be null and void, and the dispute will proceed in court.

14.5 Jury Trial Waiver

BY AGREEING TO ARBITRATION, YOU AND DNFT WAIVE THE RIGHT TO A JURY TRIAL.

14.6 Opt-Out Right

You may opt out of this arbitration agreement within 30 days of first using the Service by sending written notice to:

Your notice must include your name, phone number, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, you may pursue claims in court, subject to the other terms herein.

14.7 Survival

This arbitration agreement will survive termination of your account and these Terms.

15. Termination

15.1 Termination by You

You may stop using the Service at any time. To delete your account, contact support@dnftinc.com.

15.2 Termination by DNFT

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including if we believe you have violated these Terms.

15.3 Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • We may delete your account and User Content
  • Any fees paid are non-refundable
  • Sections 5.2 (License to DNFT), 6 (AI Output), 12 (Indemnification), 13 (Disclaimers), 14 (Arbitration), and 17 (General) survive termination

16. Modifications to Terms

We may modify these Terms at any time. If we make material changes, we will notify you by:

  • Posting the updated Terms on our website with a new effective date
  • Sending notice to your phone number or email (if available)

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms.

17. General Provisions

17.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

17.2 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and DNFT regarding the Service.

17.3 Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17.4 No Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

17.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

17.6 Force Majeure

We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.

17.7 Headings

Section headings are for convenience only and have no legal effect.
